Je suis français et je vais passer en janvier 2010 10 jours du côté de Djerba.
Je souhaite acheter dans le secteur sur un terrain de plus de 500 m2 un houch ou une villa, avec 5 à 6 chambres ou studios pour recevoir des touristes.
J'organise des stages de développement personnel, et je compte proposer ces formations à des francophones, avec hébergement compris.
Le reste du temps les chambres seraient proposées en chambres d'hôtes.
Il m'a été proposé un houch en zone agricole qui serait parfait au point de vue situation et espace. Le propriétaire m'a proposé de créer lui même une société touristique qui serait propriétaire du houch, et de me vendre ensuite les parts. Est ce que ce montage serait légal? J'en doute. Y a t il une possibilité d'acquérir pour un étranger la totalité des parts d'une société touristique située en zone agricole et ainsi d'en devenir propriétaire?
Toutes vos réponses et suggestions seront les bienvenues, de même si vous connaissez un bien à vendre correspondant à ma recherche.

Un étranger ne peut normalement pas acheter un terrain en zone agricole.
Pour qu'un étranger puisse acheter un terrain dans une autre zone, il faut l'autorisation du gouverneur.
De plus pour créer une société, il faut obligatoirement un associé tunisien.
Vous devez sur place voir un notaire ou un avocat. Je vous conseillerais d'être extrêmement vigilant avant de vous lier à un intermédiaire.
Question subsidiaire : Connaissez-vous bien la Tunisie, Djerba à toutes les époques de l'année ? N'y voyez aucune malveillance de ma part juste une mise en garde pour des personnes qui sont quelquefois surprises de voir qu'ailleurs les gens ne fonctionnent pas de la même façon que nous.

Quelles étapes à suivre pour l'obtention de l'autorisation du gouverneur ?
La rédaction de la promesse de vente
En effet, avant de demander l'autorisation du gouverneur, la rédaction de la promesse de vente est indispensable. La promesse de vente doit préciser un délai raisonnable (6 mois par exemple) au futur acquéreur pour obtenir l'autorisation en question.
La promesse de vente doit également prévoir le cas où celui-ci n'obtient pas la dite autorisation. Le versement d'un acompte sur le prix total de la vente peut être prévu par la promesse d'achat. En cas de non finalisation de l'opération d'achat, il peut être prévu de récupérer la totalité ou une partie de l'acompte.
Vérification de la régularité du titre foncier du bien
Il est primordial de vérifier la régularité du titre foncier du bien en question auprès de la conservation de la propriété foncière (CPF), avant d'entamer toute procédure d'acquisition.
Faites vous assister par un professionnel du métier !
Durant tout le processus, il vaut mieux se faire assister par un professionnel du métier, en l'occurrence un agent immobilier, un promoteur immobilier ou un avocat désigné par l'un des partis. Celui-ci aide à préparer le dossier d'autorisation du gouvernorat, et facilite les démarches administratives.
Quels sont les documents nécessaires pour le dépôt de la demande d’acquisition ?
Afin de déposer la demande d'acquisition, plusieurs documents administratifs sont requis à commencer par les pièces d'identité de l'acquéreur.
Dans le cas où le vendeur est de nationalité tunisienne, l'opération nécessite les documents suivants :
- Formulaire à récupérer du gouvernorat et à remplir en 5 exemplaires ;
- Copie des documents justifiant l'identité du vendeur avec précision du nom, de la nationalité, de l'adresse et du métier ;
- Copie des documents justifiant l'identité de l'acheteur avec précision du nom, de la nationalité, de l'adresse et du métier ainsi que son passeport ;
- Copie originale de la promesse de vente établie par un avocat ou par un notaire dûment signée (légalisée) par le vendeur et l'acheteur ;
- Certificat de propriété du bien, et à défaut le contrat d'achat initial du vendeur ;
- Quitus de la taxe municipale ;
- Attestation de la municipalité précisant la nature du bien et son usage ;
- Procès-verbal par un huissier notaire précisant la nature du bien et le nom de son occupant ;
- Copie du plan topographique ;
- Copie du plan de situation ;
- Extrait du plan d'aménagement ;
- Plan architectural ;
- Plan de morcellement si le bien est en copropriété ; Dans le cas où le vendeur est de nationalité étrangère, l'opération nécessite de plus :
- Les documents d'imposition, quitus fiscal ;
Dans le cas où la vente est soumise elle-même à l'autorisation, une copie de l'autorisation du gouverneur est nécessaire.
Dans les deux cas, si l'acquéreur ou le vendeur est une personne morale, il faut présenter une copie du dossier juridique particulièrement les statuts de la société et l'identité de son représentant légal.
Si l'autorisation est accordée, le contrat de vente définitif est signé et les procédures d'enregistrement et d'inscription de la vente effectuées respectivement auprès de la recette fiscale et de la conservation de la propriété foncière (CPR).
Dans quels cas peut-on parler de l’exonération de l'autorisation du gouverneur ?
La loi n°2005-40 du 11 mai 2005, complétant le décret du 4 juin 1957, indique que «sont exemptes de l'autorisation du gouverneur : les opérations d'achat, de location des terres et locaux se trouvant dans les zones industrielles et touristiques([1]), la transmission de la propriété de ces biens découlant d'opérations d'intégration, de fusion, de division, le changement de la forme juridique ou la cession à des tiers des sociétés ou filiales à capitaux à majorité étrangers, à condition d'un maintien en activité.
Concrètement, l'exonération de l'autorisation du gouverneur concerne aussi bien l'acquisition, ou le bail par des étrangers, des terrains et des locaux bâtis dans les zones industrielles et des terrains dans les zones touristiques, et ce, pour la réalisation de projets économiques.
Pour résumer, est dispensé donc de l'autorisation préalable , le transfert de propriété des terrains et des locaux bâtis dans les zones industrielles ainsi que des terrains situés dans les zones touristiques aménagées conformément à la législation en vigueur et résultant des opérations de fusion ou de regroupement ou de scission ou de transformation de la forme juridique ou de transfert aux tiers de sociétés ou de filiales de sociétés dont le capital est à majorité étrangère, à condition de conserver leur activité économique .
Loi de Finance 2007 : Enregistrement des acquisitions par des étrangers non résidents et exonération des retraites et rentes de sources étrangères
L’article 34 de la loi de finances 2007, indique «que l'enregistrement des opérations de transfert de propriété A titre onéreux des biens acquis en devises par des étrangers non résidents, au sens de la réglementation applicable en matière de change, est soumis aux droits fixes».
Signalons que les étrangers étaient soumis auparavant au même régime appliqué au tunisiens.
Depuis la loi de Finances 2007, un nouveau régime fiscal a été instauré. Son article 35 prévoit un système préférentiel pour le transfert en Tunisie des retraites et rentes viagères de source étrangère.
Celui-ci donne droit à une exonération de 80% de l'impôt sur le revenu ; en l'occurrence retraites et rentes viagères, à condition de transférer ces revenus vers un compte bancaire ou postal en Tunisie ou la déclaration de leur importation directe.

Les terrains agricoles ne peuvent pas être vendus aux étrangers quelque soit les motifs d’achat et toute vente d’un terrain agricole à une personne de nationalité autre que tunisienne est nulle, sachant que la nullité est absolue. (Les personnes étrangères ne peuvent exploiter les terrains agricoles que par voie de location).

j'abandonne la possibilité de créer en zone agricole, mais je garde mon projet d'ouvrir des chambres d'hôtes en Tunisie, en zone urbaine ou touristique.
J'ai une préférence pour la zone de Djerba, mais ce n(est pas une obligation. Un des critères important c'est que mon achat soit proche d'un aéroport (maxi 40 à 50 km), et qu'il soit situé proche de la mer, maximum 5 km.
Et pour répondre à votre question, je ne cherche pas pour l'instant à m'installer définitivement en Tunisie, mais d'y passer un certain temps par an tout en ayant une activité sur place.
Encore une fois merci, et si vous avez d'autres précisions, comme le chois d'agence sérieuse, les annonces de particuliers à particuliers, n'hésitez pas.
