Je suis nouveau sur le forum depuis peu mais je regarde activement les posts qui sont une mine d'informations pour moi.
J'ai donc décidé aujourd'hui de sauter le pas et vous dévoiler mon projet ou hélas il me reste quelques questions sans réponse.
Le cadre: je suis avec ma pinay depuis quelques années mais pas marié. J'ai fais des études en comptabilité , gestion et management. Nous voulons ( moi surtout) ouvrir un ressort dans le coin de bohol ou dumaguete.
Budget: jusqu'a 100.000€. Dont 50.000 cash.
En repartissant 1m5pesos pour le terrain, 1m5 pour la construction et le reste will see... ( 1m5 pour construite grande maison + 10 chambres est ce assez?)
Avancement: en ce moment meme nous cherchons des lands abordables avec plage pas tres loin ou overlooking/sea view.
Petites questions en vrac:
1. Avec mon parcours en comptabilité j aimerais savoir si le management d'un petit ressort (10 chambres+ grande maison pour nous) est compliqué, et quels conseils pouvez vous me donner... Et si biensur 10 rooms est correct pour un début ou je vois trop grand.
2. En tant que comptable j aimerais savoir comment se passe la fiscalité pour un ressort aux phils. J ai déja regardé quelques sites pour la tva etc...Aussi comment se passe la remuneration? Comme en france on a un salaire puis des dividendes ou on prend quand on veux il n y a pas de controle?
3.j' ai aussi lu qu il ne fallait passer par un cabinet comptable car il assassine les étrangers par des prix trop élevés. Qu en pensez vous?
4. Quels budget je dois prévoir par mois pour eau électricité? Serai t il mieu d investir dans des panneaux solaires/reservoir d eau avec la
Pluie etc...
5. Le cout général des charges fixes, par exemples tv, entretien piscine...

9. Coté famille pinay c est tres bien je n ai pas a m en faire de se coté la. Je sais que je pourais en embauché 1 ou 2 est ce une bonne idée ?
10. Pour le visa, j ai lu que je devais venir aux phils avec mes 21j gratos puis tout les 2 mois le faire actualiser?
11. Combien de temps et de pesos pour : un permis de construire, certification pour un ressort et restaurant. Dites moi si il y a plus de documents a obtenir...

Je ne connais pas la gestion des resorts donc je réponds aux questions plus générales
3. Cabinet comptable. J'ai utilisé un cabinet comptable qui m'a été très utile et à des prix très raisonnables. Dès que tu as affaire avec l'administration, un cabinet comptable peut te servir d'intermédiaire et te faire gagner beaucoup de temps et d'argent.
6. Terrain. Tu vas au Registry of Deeds, dans la capitale de ta province et tu demandes une copie du titre de propriété (land title). Tu connaitras le vrai propriétaire et si le terrain est gagé.
Il est fréquent qu'un acheteur ne mette pas à son nom le titre de propriété, pour éviter de payer des impôts. Donc, s'il veut revendre ce terrain, le land title est toujours au nom de l'ancien propriétaire. Si c'est le cas, évite d'acheter le terrain, SURTOUT si le terrain n'est pas cher. Il est possible que ce soit une arnaque.
Si des personnes autre que le propriétaire habitent sur le terrain, demande à ce qu'elles quittent le terrain avant de l'acheter. Sinon, si ces personnes ne veulent pas quitter le terrain après que tu l'aies acheté, tu es dans une vraie galère : ça va te prendre des années et te coûter cher pour obtenir une décision de justice expulsant ces squatters.
Constructibilité : les terrains sont classés en catégorie agricultural, commercial, industrial ou residential. Tu vas à la mairie pour demander toutes les infos: quelle est la catégorie du terrain que tu veux acheter, quelle catégorie le terrain doit être pour faire un resort et s'il est possible de changer de catégorie. Et, en même temps, tu te renseignes sur les permis de construire.
Maffia locale : aucune idée.
7. SIM card. Tu as des systèmes spéciaux OFW (philippins qui travaillent à l'étranger) qui permettent d'avoir des communications pas chères Philippines-étranger. Renseigne toi chez Smart ou Globe.
Quand je suis en France, j'ai une carte SIM philippine qui me permet de recevoir les messages des Philippines pour un coût local (il faut maintenir 100 pesos sur le compte). Pour envoyer les messages, j'utilise le site www.chikka.com, qui me permet d'envoyer des messages gratuitement aux Philippines.
8. Je te conseillerais de faire une reconnaissance de dette, en utilisant le terrain comme gage. Tout doit être fait de façon officielle, devant notaire et inscription du gage au registry of deeds. Si ça se passe mal, tu pourras "relativement facilement" récuperer le terrain.
9. Famille. De façon générale, moins tu as affaire à la famille, mieux c'est. Si tu veux travailler avec des personnes de ta belle-famille, il faut qu'ils soient plus jeunes que ta copine.

Le seul moyen d'estimer si le budget est bon c'est de faire une étude détaillée avec un plan de dépenses depuis l'achat du terrain et la construction jusqu'aux 3 premières années. Je l'avais fait pour une autre province il y a une dizaine d'année avec un budget similaire et j'ai abandonné l'idée car budget trop court.

Vas sur le site du BIR, tu trouveras toutes les infos sur l’impôt sur les société, les dividendes & co. La plupart des petites affaires ici ne sont pas aussi carrées qu'en France, de mon expérience il y a des contrôles mais c'est essentiellement sur la paperasse surtout dans le commerce ou les paiements en liquide ne sont pas traçables.

Il y a des tonnes de paperasse et chaque niveau de l'administration (province, barangay) peut en rajouter. En gros business permit + BIR + la clearance des services sanitaires et des pompiers + pour un resort il me semble qu'il faut un certificat du DENR pour l'aspect environnement.
3. Je prenais des packages suivant le travail que je demandais. Par ex., une certification des comptes me coûtait 5,000 pesos. Une création de société, équivalent d'une SA aux alentours de 15,000 pesos. Pour ce prix, le cabinet payait tous les frais de création. Donc 10,000 pesos/mois me parait très large.

Aller au registry of deeds avant d'acheter évite beaucoup de problèmes, comme les faux land title, les land title en double, les héritages, ... Le lien que tu donnes est la procédure que le registry of deeds suit pour vérifier qu'un land title est original.
Avec l'informatisation des land titles, les arnaques sont assez difficiles et, en général, les registry of deeds les connaissent et peuvent mettre en garde l'acheteur potentiel.

Les lois existent aux Philippines et 95% des juges font appliquer les lois, que le plaignant soit philippin ou étranger.
J'ai eu le cas en 2005 et, malgré que mes papiers n'aient pas été officiels (pas de notaire, pas d'inscription au registry of deeds), j'ai gagné le procès, sans donner un centavo au juge. Ca été très long à cause des papiers non officiels mais j'ai récupéré les terrains/bâtiments gagés.
Beaucoup d'étrangers perdent des procès car ils sont contre la loi tout simplement.

Pour le budget, biensur je compte faire un previsionnel sur les premieres année d exploitation afin de prevoir au plus juste. Mais 100.000€ me parais juste pour l achat du terrain, la construction et le lancement. Ensuite c est sur pour subvenir aux besoins des charges fixes du types electricité (surtout air con) eau, etc... Et les salaires je ne compte pas sur ses 100.000€ en esperant que l exploitation du ressort se fasse vite.

C'est comme en France, tu peux choisir de te mettre en 'single proprietorship' ou en 'corporation'. Mais single proprietorship ce ne sera pas possible pour toi car foreigner. Gérer une corporation c'est vraiment pas très compliqué, tu as juste un tax return à faire en fin d'exercice + tva tous les trimestre si tu y es assujetti, ton comptable s'en occupera.
