Voilà ceci est mon premier post sur VF, j'ai tellement utilisé ce forum génial pour mes propres voyages que je ne pouvais pas ne pas l'utiliser pour notre "projet aux Philippines".
Nous sommes deux hommes de 27 et 28ans, mon ami n'est jamais allé aux Philippines, pour ma part j'y ai séjourné 2 mois à la fin de l'année 2011, je suis littéralement tombé sous le charme de ce pays et je souhaite m'y installer, nous prévoyons d'y être a partir de l'automne 2012 et d'y rester quelques mois pour que mon ami découvre le pays et que notre projet mûrissent.
Il s'agirait d'une société de service avec comme clientèle visée le touriste.
Nous voudrions créer la société a nos 2 noms, nous ne savons pas encore si nous aurons besoin d'employés ou non.
Selon vous,
Quels types de société pouvons nous créer au niveau juridique ?
Est ce difficile de créer sa société aux Philippines ?
Quels frais cela engendre-t-il ? le temps consacré ?
Devons nous faire appel à une personne compétente sur place ou pouvons nous faire les démarches par nous mêmes ?
Connaissez vous les taux d'impositions sur les bénéfices ?
Nous savons que nous devrons partager les parts comme suit 40 - 60 en faveur du(des) citoyen(s) philippins ?

Voila en gros toutes les infos concernant la création d'une société aux Philippines sont les bienvenues, il serait très enrichissant pour nous de discuter avec quelqu'un ayant déjà créer une société là-bas.
Nous avons déjà effectués des recherches sur le net mais nous manquons d'informations basiques pour que ces recherches soient fructueuses.

1. Répartir les 60% entre le plus grand nombre possible de " prête-nom", de préférence ne se connaissant pas.
2. Leur faire signer des documents de vente de parts et de résignation de leur statut dans la société en blanc, sans date, que vous conservez dans un coffre bancaire.
Si vous deviez utiliser un jour ces documents, vous auriez 12 mois pour transférer ces parts à un autre Filipino.
A savoir quand même, que monter une ou plusieurs corpo et faire signer des papiers de résignation en avance a un Philippins corporate, si jamais il y avait un problème et que ces derniers réclament leurs droits ( a juste titre ) est considéré comme un abus de pouvoir sur le Philippins. Tous le monde le fait, relativement sans risque, mais 2 jurisprudences recentes sur Bohol ( societe Mega spa ) et sur Cebu ( corpo yacht sport cebu ) viennent de se faire prendre et on perdu bien gros. ( de toute facon on ne gagne jamais contre un Philippin au tribunal, n'est ce pas ? )
Le conseil de Getehem de prendre un maximum de gars pour ce séparer les 60% est un excellent conseil.
De mon point de vue le risque est faible en corpo d'avoir des problemes, jusqu'au moment ou vous achetez des biens ( terrains, immeubles) oui la corpo peut acheter. Le risque pour faire tourner un biznez en corpo est faible car si ils souhaitent prendre le dessus avec 60 %, pas de problème, il prennent le nom, mais egalement les loyers, les impots, salaires et autres, bref en general, pas de soucis. Par contre en accedant a la propriété, la d'un coup il devient intéressant de faire valoir leur 60 %, de faire une entente cordiale, et c'est le debut de la fin.

La personne la plus importante pour ta societe est l'expert comptable. Il pourra te donner tous les renseignements que tu recherches, y compris les prete-noms.
Si tu veux monter une societe de service, tu as tres peu de risques d'avoir un probleme avec les prete-noms.
Tu dois aussi penser a vos visas: avec un visa touriste, tu n'as pas le droit de travailler.
D'une maniere generale, essaie d'etre en conformite avec les lois. De nombreuses personnes te diront que ce n'est pas necessaire; mais c'est chercher les ennuis
