J'adore le Maroc , cette proposition me plait et je tenterais bien l'aventure mais je ne connais rien au droit marocain . Ahmed me dit que tout va bien, tout est en règle. je lui fais confiance mais un homme averti et bien informé en vaut 2.
Y a-t-il des membres sympas du V.F pour me renseigner sur les formalités administratives, les lois marocaines sur les responsabilités des gérants, les assurances etc...? Me donner (en message privé) les coordonnées de personnes sur place que je pouraiis contacter (avocat, coneiller juridique...) Je ne retourne au Maroc qu'en novembre pour, peut-être, finaliser ce projet

Le droit marocain régissant les sociétés commerciales est largement inspiré par le droit français comme vous le savez toutefois avec des spécificités qui lui sont propres. Je pense qu'avant de prendre attache avec un juriste il faudrait peut-être vous procurer les statuts de la société, pv de nominations ou autres et ainsi être conseillé en connaissance de cause.

Personnellement, j'ai choisi un conseil juridique et fiduciaire installé à Casablanca. Comme ça, je suis sûr qu'il n'y a aucun copinage et en plus, étant au départ de Lyon depuis la france, c'est plus facile d'accès pour des A/R express pendant les premières démarches.
La législation est globalement très proche de la législation française, en étant toutefois un peu plus lourde surtout quand il s'agit de devoir "légaliser" à tout bout de champs ce qui nous vaut une collection de coup de tampons et de timbres fiscaux non négligeable.
J'espère que tu avais pris "patience" en 2ème langue à l'école, parce que ça risque de te servir dans ta démarche.

En fait il y a deux filières au Maroc : les addouls, qui peuvent exercer toutes les fonctions d'un notaire, plus des fonctions spécifiques (comme les mariages), mais qui rédigent obligatoirement les actes en arabe, et les "notaires" qui peuvent rédiger les actes en français, et qui sont limités à certains types d'actes.
Il y a bien évidemment des addouls à Ouarzazate. En tant que centre de province, il y a "tout ce qu'il faut", tribunal de première instance et d'appel, huissiers... le tribunal de commerce, lui, est à Marrakech. Le consulat a d'ailleurs une liste d'avocats qu'il recommande, et qui ont une bonne maîtrise du droit français et du droit marocain.
La première question à se poser est la vraie raison de cette vente de parts : on n'a pas besoin d'être associé pour "aider à gérer", et le secteur du tourisme est en difficulté en ce moment, surtout pour les petites entreprises. Il se peut tout simplement que l'associé souhaite développer autre chose; il se peut aussi que la société n'ait pas de très bonnes perspectives.
Par exemple, en ce qui concerne le transport touristique, une loi est passée qui oblige toutes les petites sociétés à grandir ou disparaitre : sous cinq ans, elles doivent pouvoir salarier 10 chauffeurs, et avoir une capacité de plus de 50 places de transport, pour voir leur agrément renouvelé. Sinon, elles devront tout simplement vendre leurs voitures et leurs agréments à d'autres sociétés.
Et ce à un moment où la crise frappe, certainement moins à Ouarzazate qu'à Marrakech ou Agadir, mais elle frappe quand même. (Entre 5 et 10% de baisse de fréquentation).
Si l'associé part parce qu'il veut monter son propre projet, c'est intéressant de vérifier si il ne part pas pour devenir concurrent en prenant toute la clientèle...
En ce qui concerne le droit marocain, il est effectivement pour la partie commerciale tout à fait semblable au droit français. Il faut donc simplement se comporter comme dans n'importe quel cas d'investissement : se faire communiquer les bilans, les comptes, les perspectives d'avenir, l'endettement, évaluer l'activité au noir en plus / en moins de l'activité réelle, et faire établir un document de cession de parts extrêmement précis détaillant tous les éléments financiers communiqués qui ont servi à valoriser ces parts.
A tout hasard ce ne serait pas une petite auberge 3 chambres avec resto que tu veux reprendre.???? si c est le cas envoie message en privé , par ailleurs poi j ai l intention de reprendre une maison d hotes riad mais en location gerance toutefois un peu cher pour moi seul, si interet fait signe

Je ne sais si le mieux serait de conseiller un adoul qui -sauf grande exception mais alors là une gigantesque- rédige des formulaires plus que des actes de "notaire traditionnel" tenant en compte les spécificités des parties en cause. Touefois, la question de droit ne semble pas soulever le gros des débats c'est bien les parties et surtout la bonne foi de l'associé marocain qui est remise en cause. La prudence est de mise celà va de soi du moment que ça tourne pas à la paranoia 😇
